Not sure how I feel about an ability that triggers when you have regular initiative. Seems messy.
Also, a 1/4 character that is a CBP battlewinner seems really really strong.
I would make the Female be OT, and would exclude Clay from the brigades she could convert to.
Granting CBI from Territory is incredibly strong. Abilities of 4/3 with the potential to play CBI battlewinners is really strong too - most characters that grant CBI or CBN have disadvantageous numbers like 8/7, 7/8, 7/7, 7/6, etc.

Whenever I vet power level, I see if I can compare it to a real card as a similar-but-different (as in, this card is another kind of card as Foreign Wives, Spirit of Withdraw, Entrapping Pharisees, etc.) or whether about the same result could be obtained about as easily by other means. I think this passes both tests, and encourages a return of value to cutting low.
